Indiana University East Exempt Staff Council
By-Law I
Section 1
Rules of Order
Meetings of the council shall be governed by Roberts' Rules of Order (Revised) in all cases in which they are not inconsistent with this constitution.
Section 2
Meeting Times
Meeting times shall be set by members of the Council. Meetings shall adjourn no more than two hours after call to order unless a later adjournment is agreed to unanimously.
Section 3
Quorum
The presence of representatives from two-thirds of the active membership of the Council shall constitute a quorum.
By-Law II
Elections
Section 1
Officers of the Council
The President and Vice President of the Council shall be elected at the last meeting of the fiscal year. The person receiving a majority of votes cast by those members present and voting will be declared elected. Exact time and location of the annual meeting shall be set by the President.
Section 2
Procedures for the Election
The President will announce the timeline for the election process. The President will request nominations for candidates. Nominations may be submitted by any member of Exempt Council (active or inactive). Nominations may also be made from the floor at the annual meeting.
Section 3
Vacancy
In the event an officer vacates a position, it will be filled by appointment by the President for the remainder of the unexpired term.
Section 4
Term of Office
Officer elections for the positions of President and Vice President shall be held every two years. The President and Vice President shall serve two-year terms. Section 5
Responsibilities of the Officers
The responsibilities of the various officers are those normally associated with their respective offices.
By-Law III
Meeting of the Members
Section 1
Quorum
A simple two-thirds majority of active membership of the Council shall constitute a quorum.
Section 2
Voting
A majority vote of the members present shall be required to pass a motion that has been seconded.
Section 3
Special Meetings
The Chancellor may request the President of the Council to call a special meeting. Special meetings may also be called by the President of the Council. Professional staff members shall be notified at least one week in advance of the date of a special meeting.
By-Law IV
Section 1
Amendments
This constitution may be amended by a two-thirds (2/3) vote of the members of the Council who are present and voting at a meeting.
Section 2
By-Laws
The Council may adopt or repeal by-laws by a simple majority vote of the Council.
